Please read the following License Agreement (hereinafter referred to as "Agreement"). Your right to use these resources is limited.

DEFINITION

"Resources" applies to the content, printed material, and electronic delivery of content and services.

Use of the resources constitutes your acceptance of these terms. If you do not agree to the terms of this Agreement, you may not subscribe as a member.

LICENSE

As a user, you are granted a non-exclusive, non-transferable right to access these resources. Users agree to only use the resources as an end user and users may copy the resources in readable or printed form as necessary to use it in accordance with this license or for backup purposes in support of the resources.

Users may not reproduce or distribute the resources for resale or other commercial purposes, including without limitation the bundling of the resources with any good or service that is offered for sale.

A single user license constitutes the use of the resources by the subscriber only in his/her classroom and by his/her students only.

A school site license allows the use of the resources for all teachers and students at that school whilst ever they are working or attending that school only. Resources are not transferable and are not to be copied and taken to any other school outside of the subscribing school.

COPYRIGHT

Australian copyright law and international treaty provisions protect the resources. You acknowledge that no title to the intellectual property in the resources is transferred to you. You further acknowledge that title and full ownership rights to the course will remain the exclusive property of Intouch Consultancy Pty Ltd and you will not acquire any rights to the resources except as expressly set forth in this license. You agree that any copies of the resources will contain the same proprietary notices that appear on and in the resources and within this agreement.

REVERSE ENGINEERING

You agree that you will not attempt to reverse compile, modify, translate, or disassemble the resources in whole or in part.

NO OTHER WARRANTIES

Intouch does not warrant that the resources is error free; nor does it warrant constant access to the resources outside of the subscription period. Intouch Consultancy Pty Ltd and its suppliers disclaim all warranties with respect to the resources, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement of third-party rights.

SEVERABILITY

In the event of invalidity of any provision of this Agreement, the parties agree that such invalidity shall not affect the validity of the remaining portions of this license.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES

In no event shall Intouch or its suppliers be liable to users for any consequential, special, incidental, or indirect damages of any kind arising out of the delivery, performance, or use of the resources, even if Intouch has been advised of the possibility of such damages. In no event will Intouch incur liability for any claim, whether in contract, tort, or any other theory of liability, to exceed the license fee paid by user, if any.

TERMINATION

Intouch has the option to terminate access to this resource material if users fail to comply with any term or condition of this Agreement. Upon such termination, users must cease accessing the resources together with destroying all personal copies of the resource material.

ENTIRE AGREEMENT

This is the entire Agreement between users and Intouch which supersedes any prior agreement or understanding, whether written or oral, relating to the subject matter of this license.
